• USD 1.2 Million Subscription by a consortium of international private equity funds into a local holding company. Corporate, regulatory and basic tax due diligence on the target company and legal opinion. Assisted with rectifying issues identified in the due diligence report and drafting of a comprehensive subscription and shareholders agreement (including provisions for operational oversight, realisation/exit strategies and provisions on pre-emption rights and tag along and drag along clauses) for the private equity investment of three foreign funds into a Botswana International Financial Services Centre company with Zimbabwean microfinance interests looking at regional expansion (2011).

• Negotiated and concluded exit of a local venture capital fund (Peo Venture from a non-profitable investment. – Advice to client on methods available to address issues in a company that had failed to yield a return on investment, advice on methods available to exit the company, negotiations with majority non-citizen shareholder to allow the venture capital fund and citizen shareholder to divest at a negotiated sale price, preparation of a sale of shares agreement and facilitation of the transaction (2011).

• Legal Counsel to Matseno (Proprietary) Limited, the citizen shareholder, in relation to the drafting and negotiation of a shareholders agreement between the shareholders of Associated Fund Administrators Botswana (Proprietary) Limited, one of the largest medical aid fund administrators in the country (2013).


• Acted as local counsel in Botswana to Norton Rose Fulbright on behalf of Minor International Plc in its acquisition into the Sun International Group. KCL acted as local counsel on both phases of the two-stage acquisition (2015, 2016).

• Confidential Client. Local counsel acting as correspondent attorneys to Norton Rose Fulbright Group acting for a potential acquirer in relation to a due diligence and regulatory advice in relation to the potential transaction on the Botswana interests of the African business of a significant Insurance Holding Group (completed 2016).
